Welcome to Magnetherm. These Terms of Service ("Terms") govern your use of our website (magnetherm.net), our online store (magnetherm.shop), our calibration and equipment services, and any software applications or integrations we provide, including internal accounting and operations tools authorized to access systems on our behalf (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Who We Are
Magnetherm Inc., operating as Magnetherm Calibration ("Magnetherm," "we," "us," or "our"), is a California corporation providing on-site calibration services, equipment certification, calibration equipment sales, and related professional services to manufacturing facilities, primarily in California and the western United States. Our principal address is 30306 Oise Drive, Menifee, CA 92584.
2. Acceptance of Terms
By using our Services you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy (available at https://www.magnetherm.net/privacy-policy). If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Services
Magnetherm provides calibration services for industrial measurement equipment including metal detectors, X-ray inspection systems, scales, thermometers, pH meters, and related instruments. We also operate an online store for equipment and consumables and offer customer accounts, scheduling tools, and integrations with third-party platforms used to run our business (including, where applicable, accounting and customer-relationship-management software). Specific scope, pricing, and timing for any service are described in the relevant quote, work order, or order confirmation.
4. Software Applications and Integrations
We develop and operate internal software applications and integrations to run our business, including connectors to financial and operational platforms such as QuickBooks Online, scheduling tools, and customer-management systems. These applications are intended for use by Magnetherm's authorized personnel and authorized service providers only, are governed by these Terms, and may access, read, and modify Magnetherm's own data within those platforms in accordance with the authorizations Magnetherm grants. By authorizing one of our applications to access a third-party platform you control on Magnetherm's behalf, you agree that Magnetherm and its authorized personnel may use that authorization to perform the work described in the relevant service agreement.
5. User Responsibilities
You agree to use our Services only for lawful purposes and not to: (a) interfere with or disrupt the Services or any servers or networks connected to the Services; (b) attempt to gain unauthorized access to any part of the Services or any related systems; (c) misuse, copy, modify, or redistribute proprietary content; or (d) use the Services in any way that could damage, disable, overburden, or impair them.
6. Intellectual Property
All content, design, software, branding, trademarks, and other materials available through our Services are the property of Magnetherm or our licensors and are protected by United States and international intellectual-property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included content without our prior written permission.
7. Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Magnetherm disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Calibration services are governed by the specific standards and methods identified in the applicable calibration certificate and not by any general warranty implied by use of the website.
8. Limitation of Liability
To the maximum extent permitted by law, Magnetherm and its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Services. Our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid Magnetherm for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
9. Third-Party Services
Our Services may link to or interoperate with third-party services (for example, QuickBooks Online, Shopify, Twilio, and others). Use of those services is governed by their own terms and policies. Magnetherm is not responsible for the content, accuracy, availability, or practices of third-party services.
10. Modifications
We may modify these Terms from time to time. When we do, we will update the "Last Updated" date above and post the revised Terms on this page. Material changes will be communicated where reasonably practical. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
11. Termination
We may suspend or terminate access to the Services at our discretion, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and governing law) will survive.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to the personal jurisdiction and venue of those courts.
